1. Acceptance of Terms

By accessing or using the E2X platform, API, website, documentation, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and E2X ("we," "us," or "our"). By creating an account, purchasing credits, or making any API request, you acknowledge that you have read, understood, and agree to be bound by these Terms.

You must be at least eighteen (18) years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Service Description

E2X is a Model-as-a-Service (MaaS) platform that provides unified API access to a variety of artificial intelligence models for video generation, image generation, and other media creation tasks. E2X operates as an AI model aggregator, routing inference requests to upstream third-party providers (including but not limited to Google Cloud, OpenAI API, BytePlus, fal.ai, Replicate, Runway, Minimax, and others).

Key aspects of the Service include:

  • Unified API access to multiple upstream AI model providers
  • Credit-based billing with per-request pricing
  • Dashboard for monitoring usage, jobs, and account activity
  • API key management for programmatic access
  • Model discovery, documentation, and integration support

As an aggregator, E2X does not train, host, or directly operate the underlying AI models. Model availability, capabilities, and behavior are subject to the upstream providers' terms and operational status.

3. Account & Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials and API keys
  • Accept full responsibility for all activities that occur under your account
  • Notify us immediately at support@e2x.ai of any unauthorized use of your account

You may not share, transfer, or assign your account to any other person or entity. We reserve the right to suspend or terminate accounts that contain false or misleading information, or that we reasonably believe are being operated in violation of these Terms.

4. API Access & Usage

Access to the E2X API is granted through API keys generated in your dashboard. You are solely responsible for the security and proper use of your API keys.

API Key Management

  • Keep your API keys confidential and store them securely
  • Rotate or revoke keys immediately if you suspect unauthorized access
  • Do not embed API keys in client-side code, public repositories, or any publicly accessible location
  • You are liable for all usage and charges incurred through your API keys

Rate Limits & Fair Use

The Service enforces rate limits on API requests to ensure fair usage and platform stability. Rate limits may vary based on your account tier, the specific model being used, and current platform load. Exceeding rate limits will result in temporary request throttling (HTTP 429 responses). Systematic abuse of rate limits may result in account suspension.

Restrictions

  • You may not sublicense, resell, or redistribute API access to third parties without our prior written authorization
  • You may not attempt to reverse-engineer, decompile, or extract source code from the Service, its API, or the underlying models
  • You may not use automated means to circumvent rate limits, authentication, or other security measures

5. Pricing & Payment

Credit-Based Billing

E2X operates on a prepaid credit-based billing model. You purchase credits by adding funds to your account balance. API requests are charged against your credit balance based on the model used and the parameters of each request.

Billing Precision

Account balances and transaction amounts are tracked with micro-cents precision (1,000,000 micro-cents = $1.00 USD) to ensure accurate billing for API requests of varying costs.

Non-Refundable Credits

All credit purchases are final and non-refundable. Credits consumed by API requests (whether successful or failed due to user error) cannot be reversed. In cases where a job fails due to a verified platform error, credits may be restored to your balance at our sole discretion.

Credit Expiration

Credits may be subject to an expiration period as specified at the time of purchase or in your account dashboard. Expired credits are forfeited and cannot be recovered or refunded.

Pricing Changes

We reserve the right to modify model pricing at any time. Price changes apply to future API requests only and do not affect your existing credit balance. Current pricing is always displayed on the pricing page and API documentation.

Insufficient Balance

API requests made with an insufficient credit balance will be rejected with an HTTP 402 response. No charges will be applied, and no jobs will be created.

6. Intellectual Property

Your Inputs & Outputs

Subject to applicable law and the terms of the underlying AI model providers, you retain ownership of the inputs (prompts, images, and other data) you submit to the Service and the outputs (generated content) produced from your inputs. By using the Service, you grant E2X a limited, non-exclusive, worldwide license to process your inputs solely for the purpose of providing the Service to you.

No Uniqueness Guarantee

AI-generated outputs are non-deterministic. We do not guarantee that outputs generated for you will be unique or will not be similar to outputs generated for other users using similar inputs. You acknowledge that other users may receive substantially similar or identical outputs.

Platform Intellectual Property

E2X, its logo, branding, website design, API documentation, SDK code, and all related intellectual property remain the exclusive property of E2X. You may not copy, reproduce, modify, or create derivative works of any part of the Service without our prior written consent.

Feedback

Any feedback, suggestions, or ideas you provide to us regarding the Service may be used by us without any obligation to compensate you or maintain confidentiality.

7. Upstream Provider Data Usage

Important: E2X routes your API requests to third-party upstream AI model providers. Each upstream provider operates under its own terms of service and privacy policy, which may include provisions regarding the use of input and output data.

You acknowledge and agree that:

  • Certain upstream providers (such as Runway and others) may use input data, output data, or usage metadata for the purposes of model training, improvement, safety research, or other purposes as described in their respective terms of service
  • E2X does not control, and is not responsible for, the data handling practices of upstream providers
  • By using the Service, you consent to your data being transmitted to and processed by upstream providers in accordance with their respective terms and privacy policies
  • It is your responsibility to review the terms of the upstream providers if you have concerns about how your data may be used
  • E2X makes no representations or warranties regarding the data retention, data usage, or privacy practices of any upstream provider

8. Prohibited Uses

You agree to comply with our Acceptable Use Policy at all times. Without limiting the foregoing, you agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Generate, distribute, or store illegal, harmful, abusive, or exploitative content
  • Generate content depicting minors in inappropriate, sexual, or harmful contexts
  • Engage in any form of fraud, phishing, impersonation, or deceptive practices
  • Create deepfakes or synthetic media intended to deceive, defame, or harass
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service or its underlying models
  • Circumvent rate limits, authentication mechanisms, or other security measures
  • Resell, sublicense, or redistribute access to the Service without prior written authorization
  • Interfere with or disrupt the integrity, performance, or availability of the Service
  • Use the Service to develop a directly competing product or service
  • Scrape, crawl, or automatically collect data from the Service for competitive or unauthorized purposes

Violation of these prohibitions may result in immediate account suspension or termination, forfeiture of remaining credit balance, and potential legal action.

9. Content Responsibility

You are solely responsible for all inputs you submit to the Service and all outputs generated as a result. This responsibility extends to any content generated by your end-users when you integrate the Service into your own applications or platforms.

  • You must ensure that all inputs comply with applicable laws, these Terms, and our Acceptable Use Policy
  • You are responsible for implementing appropriate content moderation and safety measures in your own applications that utilize the Service
  • You must not allow your end-users to generate content that would violate these Terms
  • You are liable for any claims, damages, or legal actions arising from content generated through your account, including content generated by your end-users

We reserve the right to review, moderate, and remove content or suspend accounts that violate these guidelines. Upstream AI model providers may also independently flag, block, or refuse requests that violate their content policies.

10. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT PROVIDE ANY SERVICE LEVEL AGREEMENT (SLA) OR UPTIME GUARANTEE UNLESS SEPARATELY AGREED IN WRITING.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, E2X AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO E2X IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

11. Indemnification

You agree to indemnify, defend, and hold harmless E2X and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or any activity under your account
  • Content you or your end-users generate, submit, or distribute through the Service
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property rights
  • Any unauthorized use of your account or API keys
  • Your end-users' use of outputs generated through your integration of the Service

12. Termination

Termination by You

You may stop using the Service at any time. To close your account and request deletion of your data, contact support@e2x.ai.

Termination by Us

We reserve the right to suspend or terminate your account immediately, with or without prior notice, for reasons including but not limited to:

  • Breach of these Terms or any applicable policy
  • Fraudulent, abusive, or illegal activity
  • Non-payment or payment disputes
  • Violation of applicable laws or regulations
  • Requests from law enforcement or government agencies
  • Extended period of inactivity

Effect of Termination

Upon termination, your right to access the Service ceases immediately. Any remaining credit balance may be forfeited in cases of Terms violations. For voluntary account closures, refund of unused credits is at our sole discretion. Following termination, we will delete your account data in accordance with our data retention practices, except where retention is required by law or for legitimate business purposes.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least thirty (30) days' prior notice by updating the "Last updated" date at the top of this page and notifying you via email or through the Service dashboard.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the changes take effect.

14. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which E2X operates, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration or bring a claim in the competent courts of the applicable jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, consolidated action, or representative action.
